The MLS Jersey Swap Contest (the “Contest”) begins May 20, 2021 at 12:00 a.m. Eastern Time (“ET”) and ends May 28, 2021 at 11:59 p.m. ET (the “Contest Period”). This Contest is no way sponsored, endorsed, administered by, or associated with Twitter. Twitter is not affiliated with Sponsor in any way.

ELIGIBILITY: As of date of entry, “Nominators” must be legal residents of the fifty (50) United States. the District of Columbia, or Canada, 18 years of age or older. Eligible “Nominees” must be legal residents of the fifty (50) United States, the District of Columbia or Canada, 18 years of age or older. A Nominator must have a Nominee’s permission to enter him/her into the Contest. Void where prohibited by law. Employees of Major League Soccer, L.L.C. (“Sponsor” or “MLS”), Soccer United Marketing, LLC (“SUM” and collectively with Sponsor, the “MLS Entities”) and each of their respective parents, affiliated companies, subsidiaries, licensees, distributors, dealers, retailers, printers and advertising and promotion agencies, and any and all other companies associated with the Contest are not eligible to be Nominators or Nominees. Nominees cannot be a nominator for themselves. Contest is subject to all applicable federal, state and local laws. 

HOW TO ENTER: During the Contest Period, log on to your Twitter account and nominate an eligible friend or family member by posting a tweet with a brief description of why they deserve a post-game adidas PRIMEBLUE jersey, tag your friend or family member along with their favorite MLS club and include the hashtag #JerseySwapEntry in your tweet to be considered. A Twitter account is required to enter via this entry method and can be opened for free at www.twitter.com or by downloading the Twitter application onto your mobile phone from your appropriate app store.

Please Note: Your Twitter account and Nominee’s Twitter account must be set to public for the duration of the Contest Period and potential winner notification process to be considered. Entries submitted from (or on behalf of) private profiles will not be considered and will be deemed void.

When entering using your mobile phone, standard data fees may apply. See your wireless provider for pricing plan details. All entries must be received by May 28, 2021 at 11:59 p.m. ET to be eligible. Submission of erroneous or incomplete information will void the submitted entry. Except as otherwise provided herein, Sponsor will not enter into any correspondence with an entrant regarding an entry. Entries generated by script, macro or other automated means or by any means which subvert the entry process are void. Nominators may only nominate a Nominee one (1) time throughout the Contest Period. You may only use one (1) Twitter account to enter. Nominations from a Nominator for the same Nominee in excess of the limitation above will be void.

By submitting an entry, entrant hereby grants permission for the entry to be posted on Sponsor social channels or other websites and agrees that Sponsor may edit, modify, and manipulate the entry as it deems necessary for such purposes. Entrant agrees that MLS Entities are not responsible for any unauthorized use of entries by third parties. MLS Entities do not guarantee the posting of any entry and reserve the right to take down any posted entry at any time.

Nominators represent and warrant their entry is the original work of such Nominator, it has not been copied from others and it does not violate the rights of any other person or entity. Entries with incomplete or erroneous information, entries generated by script, macro or other automated or mechanical means and entries made by any means which subvert the entry process, are void.

REQUIREMENTS OF ENTRIES: Entry may not contain, as determined by Sponsor, in its sole discretion, any content that:

• is defamatory, obscene, or otherwise unlawful, sexually explicit or suggestive, unnecessarily violent or derogatory of any ethnic, racial, gender, religious, professional or age group, or profane or pornographic;
• promotes illegal drugs, tobacco, firearms/weapons (or the use of any of the foregoing); 
• promotes any activities that may appear unsafe or dangerous; 
• promotes any particular political agenda or message;
• is obscene or offensive, or endorses any form of hate or hate group; 
• defames, misrepresents or contains disparaging remarks about other people, or companies, including, but not limited to Major League Soccer or its member clubs;
• contains intellectual property owned by others, without proper permission, or contains any personal identification, such as license plate numbers, street addresses or e-mail addresses;
• contains materials embodying the names, likenesses, voices, or other indicia identifying any person, including, without limitation, celebrities, athletes or other public or private figures, living or dead, without proper permission; 
• communicates messages or images inconsistent with the positive images or good will of Sponsor;
• duplicates any other entry in violation of these Official Rules; or
• violates any law.

By participating – each Nominator, and, by accepting a prize, the winners – covenants, warrants and represents that such Nominator’s entry is the original work of the Nominator, has not been previously published, has not won previous awards, and does not infringe upon the copyrights, trademarks, rights of privacy, publicity or other intellectual property or other rights of any person or entity. By submitting an entry, Nominator covenants, warrants and represents that Nominator and any persons identifiable in the entry (including but not limited to the Nominee) consent to the submission and use of the entry in the Contest and to its use, exploitation and exhibition and any other action of Sponsor with respect to the entry as set forth herein.

By submitting an entry, each Nominator acknowledges and agrees that (a) Sponsor may obtain many entries in connection with the Contest or other contests staged or promoted by Sponsor, (b) such entries may be similar or identical in theme, idea, format or other respects to other entries submitted in connection with the Contest or entries for other contests sponsored by Sponsor or submitted for other reasons or other materials developed by or on behalf of Sponsor and (c) Nominator waives any and all claims entrant may have had, may have, or may have in the future that any entry or other works accepted, reviewed or used by Sponsor may be similar to Nominator’s entry, or that any compensation is due to Nominator in connection with such entry or other works used by Sponsor.

JUDGING TO DETERMINE WINNERS: Following the conclusion of the Contest Period, all eligible entries received will be judged by a panel of judges based equally on the following criteria: (i) description of how Nominee makes a difference in their community; and (ii) personal impact and explanation of why Nominee deserves the jersey swap. The five (5) entries submitted with the highest scores for each MLS Club will be deemed potential winners, subject to verification and compliance with these Official Rules. In the event of any tie, an additional “tie-breaking” judge selected by the Sponsor will determine the winner(s) from among those tied based on the criteria set forth herein.

WINNER NOTIFICATION: Judges’ and Sponsor’s decisions are final and binding on all matters relating to this Contest. Potential winning Nominees will be notified by Twitter direct message, comment, email, mail and/or phone and may be required to complete an Affidavit of Eligibility (or Declaration of Eligibility if an eligible resident of Canada), Liability and Publicity Release (unless prohibited by law) and any other documents required by Sponsor, which must be returned within five (5) days of date appearing on prize notification. Return of prize or prize notification as undeliverable, failure to sign and return requested documentation within the specified time period, the inability of Sponsor to contact a potential winner within a reasonable time period or noncompliance with these Official Rules by any potential winner will result in disqualification and, at Sponsor’s sole discretion, the applicable prize may be awarded to a runner-up. Sponsor reserves the right to conduct background checks on potential after extending an initial winner notification without additional notice or further consent and potential winners agree to such background checks. Potential winners understand that Sponsor reserves the right to withdraw a potential winners’ eligibility to receive a prize based on the results of the background checks. For the avoidance of doubt, winners will be the Nominees; the Nominators will not be eligible or considered for a prize.

GRAND PRIZES (135) (Five (5) awarded per MLS Club): Each winner will receive a game-worn adidas PRIMEBLUE jersey. Exact player jersey and size to be determined by Sponsor, in its sole discretion. Approximate Retail Value (“ARV”) of each prize: $89.99 USD. Actual value of jersey will be subject to market fluctuations.

PRIZE CONDITIONS: All federal, state and local taxes, withholdings and all other costs associated with prize acceptance and use not specified herein as being provided are the sole responsibility of the winners. Prizes are awarded “as is” with no warranty or guarantee, either express or implied by Sponsor. Winners may not substitute, assign or transfer prize or redeem prize for cash, but Sponsor reserves the right, at its sole discretion, to substitute prize (or portion thereof) with one of comparable or greater value. Total ARV of all prizes: $12,148.65 USD. Limit one (1) prize per person throughout the Contest Period.

GENERAL CONDITIONS: By participating, each entrant agrees: (a) to abide by these Official Rules and decisions of Sponsor and judges, which shall be final and binding in all respects relating to this Contest; (b) to release, discharge and hold harmless MLS Entities, Twitter, adidas and each of their respective parents, affiliates, subsidiaries, and advertising and promotion agencies, and the respective officers, directors, shareholders, employees, sponsors, agents and representatives of each of the forgoing (collectively, “Released Parties”) from any and all injuries, liability, losses and damages of any kind to persons, including death, or property resulting, in whole or in part, directly or indirectly, from entrant’s participation in the Contest or any Contest-related activity or the acceptance, possession, use or misuse of any awarded prize; and (c) to the use of his/her name, photograph, image and/or likeness for programming, advertising, publicity and promotional purposes in any and all media, now or hereafter known, worldwide and on the Internet, and in perpetuity by Sponsor and its designees, without compensation (unless prohibited by law) or additional consents from entrant or any third party and without prior notice, approval or inspection, and to execute specific consent to such use if asked to do so.

LICENSE/USE OF ENTRIES: By submitting an entry, and to the extent allowed by law, you grant the Released Parties a perpetual, worldwide, royalty-free, non-exclusive, sub licensable, unconditional and transferable license to edit, modify, cut, rearrange, add to, delete from, reproduce, encode, store, modify, copy, transmit, publish, post, broadcast, display, adapt, exhibit and/or otherwise use or reuse your entry, name, photo, video and biographical material including, but not limited to, all materials submitted in connection with the Contest in any and all media, throughout the world, and in any manner, for trade, advertising, promotional, commercial, or any other purposes without further review, notice, approval, consideration, or compensation to entrant or any third party.

MISCELLANEOUS: Released Parties are not responsible for lost, late, incomplete, damaged, inaccurate, stolen, delayed, misdirected, undelivered, or garbled entries or photos; or for lost, interrupted or unavailable network, server, Internet Service Provider (ISP), website, or other connections, availability or accessibility or miscommunications or failed computer, satellite, telephone or cable transmissions, lines, or technical failure or jumbled, scrambled, delayed, or misdirected transmissions or computer hardware or software malfunctions, failures or difficulties, or other errors or difficulties of any kind whether human, mechanical, electronic, computer, network, typographical, printing or otherwise relating to or in connection with the Contest, including, without limitation, errors or difficulties which may occur in connection with the administration of the Contest, the processing or judging of entries, the announcement of the prizes, the incorrect uploading of any video, or in any Contest-related materials. Released Parties are also not responsible for any incorrect or inaccurate information, whether caused by site users, tampering, hacking, or by any equipment or programming associated with or utilized in the Contest. Released Parties are not responsible for injury or damage to any person's computer related to or resulting from participating in this Contest or downloading materials from or use of the website. Persons who tamper with or abuse any aspect of the Contest or website, who act in an unsportsmanlike or disruptive manner or who are in violation of these Official Rules, as solely determined by Sponsor, will be disqualified and all associated Entries will be void. Should any portion of the Contest be, in Sponsor’s sole opinion, compromised by virus, worms, bugs, non-authorized human intervention, epidemic, pandemic, an Act of God, or other causes which, in the sole opinion of the Sponsor, corrupt or impair the administration, security, fairness or proper play, or submission of entries, or in the event the Contest is unable to run as planned for any other reason, Sponsor reserves the right at its sole discretion to suspend, modify or terminate the Contest and, if terminated, at its discretion, select the potential winners from all eligible, non-suspect entries received prior to action taken using the judging criteria outlined above. Should multiple users of the same e-mail account enter the Contest and a dispute arises regarding the identity of the entrant, the authorized account subscriber of said e-mail account at the time of entry will be considered the entrant and must comply with these Official Rules. “Authorized account subscriber” is defined as the natural person who is assigned an e-mail address by an Internet access provider, on-line service provider or other organization, which is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE THE WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES AND OTHER REMEDIES (INCLUDING ATTORNEYS’ FEES) FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION.

ARBITRATION: Except where prohibited by law, as a condition of participating in this Contest, participant agrees that (1) any and all disputes and causes of action arising out of or connected with this Contest, or any prizes awarded, shall be resolved individually, without resort to any form of class action, and exclusively by final and binding arbitration under the rules of the American Arbitration Association and held at the AAA regional office nearest the participant; (2) the Federal Arbitration Act shall govern the interpretation, enforcement and all proceedings at such arbitration; and (3) judgment upon such arbitration award may be entered in any court having jurisdiction. Under no circumstances will participant be permitted to obtain awards for, and participant hereby waives all rights to claim, punitive, incidental or consequential damages, or any other damages, including attorneys' fees, other than participant's actual out-of-pocket expenses (i.e., costs associated with participating in this Contest), and participant further waives all rights to have damages multiplied or increased.

For eligible residents of the United States and the District of Columbia: All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of participant and Sponsor in connection with the Contest, shall be governed by, and construed in accordance with, the substantive laws of the State of New York, USA.

For eligible residents of Canada: All issues and questions concerning the construction, validity, interpretation and enforceability of the Contest Official Rules, or the rights and obligations of participant and Sponsor in connection with the Promotion, shall be governed by, and construed in accordance with, the laws of Ontario, Canada, without regard to any other conflicts of law principles. All participants consent to the jurisdiction and venue of the federal, provincial, and local courts of Ontario, Canada. For Quebec Residents: Any litigation respecting the conduct or organization of a publicity contest may be submitted to the Régie des alcools, des courses et des jeux for a ruling. Any litigation respecting the awarding of a prize may be submitted to the board only for the purpose of helping the parties reach a settlement.
